As a Buyer, these are the key steps we will assist with:

    • To attract Businesses’ attention, especially for the off-market ones, it is critical to have the story right which will make these CEOs/Founders comfortable and ready to listen to us. 

    • Because they are regularly approached by many investors, we need to have the story strait and find a way to differentiate from the other market Buyers.

    • The key element of the story will come from the M&A model the Buyer will offer. Are we going to have a majority or minority stakeholder, a 100% acquisition. After the transaction will it be fully integrated (structure, management, brand, culture,...) or not integrated (where Business will keep their own entity, CEO, founder, brand and culture)

    • With our experience we can help you to translate your M&A strategy into the story which will facilitate the first engagement and increase the curiosity and motivation to pursuit the discussion  

    • We will work with the Buyer to  profile the perfect Company to acquire with the associated M&A model

    • Conduct comprehensive market research (local or Internationally) to identify potential acquisition targets aligned with the Buyer's strategic objectives.

    • Evaluate target companies based on various criteria such as industry trends, financial performance, synergies, and growth potential.

    • Our first step will be to check our existing list of Companies we are already in touch with and see if one of them would match the profile.

    • Through our multiple databases + networks, we will start identifying NEW targets matching the Buyer requirement. Because of the competitive market situation, we will have to scan widely  to maximise the result.

    • From there we will be able to create a list of targets (mainly CEO, Founder, owner, Chairman) to start the prospecting process

    • From the different positive answers, we will start the interview process mainly by video-conference

    • This first interview is a critical step because will be decisive in convincing the CEO/Founder to be more curious and pursuit the discussion through following meetings.

    • During this first interview, we are not using any slide. We want to make this conversation (usually 45mn) informal, where  we will be able to share and collect more information on the business but more importantly know more about the person, his style, his vision and his motivation.

    • After all first interviews done, we will present to the buyer a second short list of Companies we believe as good candidates.

    • This is the phase where we will be signing an NDA with between the parties, in order to freely share strategic and sensitive information.

    • During this deep dive session both parties will share several aspects of their activity such as the strategy, vision, ambition, financials (Revenue/EBITDA from last years + budget + business plan), organisation, shareholders structure, motivation etc.

    • Before coming down to one or two final selection, we will have with the Buyer follow-up meetings with the companies, previously short listed, where we will go deeper on the financials and operations.

    • We will assist in evaluating the different integration options and advise on the most suitable structure for the transaction to make both parties comfortable

    • We will also assist in structuring the transaction to optimize operational synergies, minimize integration challenges, and maximize ROI, depending on the M&A model.

    • We will assist you in structuring the transaction and building the NBO, as a facilitator between both parties, to make sure that each meets their requirement. 

    • We will also assist you during the Due Diligence process up to the final signature, to make sur that both parties are aligned with each other expectations shared during all the previous meetings and discussions.

    • On demand, we will be able to assist post-acquisition through the integration  transition phase driven by the M&A model agree between the parties.

    • Ensure a seamless transition post-acquisition, facilitating integration efforts and alignment with the buyer's strategic goals.

    • We will meet with the first buyers and propose a short list matching the Seller requirement

    • We will organise the different meetings required by the Buyers to fully assess the company before to be able to confirm their interest. 

    • We will assist you during the negotiation phase by providing the necessary advice in line with the market actual standards

    • We will support you in receiving a Non-Binding Offer (NBO) from the Buyer in line with your expectations.

    • During the Due Diligence period, we will assist you and the Buyer that both parties are in line  with each other requirement in terms information sharing and within a specific timeframe.

    • On demand, we will be able to assist you after the acquisition will be confirmed through the integration  transition phase driven by the M&A model agree between the parties.
